1. Introduction

Starlight is an AI-powered feedback platform designed to help educators improve their teaching through structured analysis of audio recordings. These Terms govern your access to and use of the Service, including all associated web sites, mobile applications, and related services.

2. Definitions

• Account means the user account created to access the Service.
• Audio Submission means any audio file you upload to the Service.
• Content means all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials that you upload, post, create, transmit, or otherwise make available via the Service.
• Feedback Report means an AI-generated analysis produced from an Audio Submission.
• Template means predefined or user-created criteria used for generating Feedback Reports.
• User (you) means any individual or entity that accesses or uses the Service.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an Account, you represent and warrant that you meet these requirements.

4. Account Registration & Security

You agree to provide accurate, current, and complete information during registration and to keep your Account information up to date. You are responsible for safeguarding your password and for all activities that occur under your Account. You must notify us immediately of any unauthorised use or suspected breach of security.

5. Service Description

The Service enables you to upload Audio Submissions, which are transcribed and analysed by AI models to generate Feedback Reports. Additional features include Template management, star-based rating of Feedback Reports, and historical tracking of your submissions. Certain advanced capabilities described in our product roadmap may be offered as beta or premium features.

6. Acceptable Use

You agree not to, and will not permit others to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Upload Audio Submissions that infringe or violate the intellectual property rights of any third party;
• Attempt to access or search the Service by any means (automated or otherwise) other than our publicly supported interfaces;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
• Interfere with or disrupt the integrity or performance of the Service or the data contained therein;
• Use the Service to develop competing products or services.

7. User Content

You retain all rights to your Content. By uploading or otherwise making Content available, you grant Starlight a non-exclusive, worldwide, royalty-free licence to use, host, store, reproduce, modify, and display such Content solely for the purpose of operating and improving the Service. You represent and warrant that you have all rights necessary to grant this licence.

8. AI & Automated Processing

Starlight relies on third-party AI services (e.g., transcription and language models) to process Audio Submissions and generate Feedback Reports. While we strive for accuracy, AI output may contain errors or omissions. You acknowledge that any reliance on Feedback Reports is at your own risk and that the Service does not guarantee pedagogical improvement or compliance with any educational standards.

9. Privacy & Data Protection

We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our Privacy Policy explains how we collect, use, and disclose personal information, and forms part of these Terms. By using the Service, you consent to such processing.

10. Intellectual Property

Except for User Content, all elements of the Service, including software, design, text, graphics, and trademarks, are the exclusive property of Star21 Limited or its licensors and are protected by intellectual property laws. No rights are granted to you other than as expressly set forth in these Terms.

11. Third-Party Services

The Service may incorporate or provide links to third-party services (such as AI providers). We are not responsible for third-party content or services and your use of them is subject to the terms and policies of those third parties.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Starlight does not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall Star21 Limited, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising out of or related to your use of the Service, even if advised of the possibility of such damages.

14. Indemnification

You agree to indemnify and hold harmless Star21 Limited and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any rights of a third party.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or applicable law. Upon termination, your right to use the Service will immediately cease, but sections that by their nature should survive will remain in effect.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in England for the resolution of any dispute arising from or relating to these Terms or the Service.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will endeavour to provide at least 14 days' notice prior to any new terms taking effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.
